US Airways leaves crisis

The federal court in the USA approved the exit plan from bankruptcy of AMR Corp. the owner of American Airlines airline, at the expense of merge to US Airways Group Inc.


As the The Wall Street Journal newspaper writes with reference to a source familiar with a situation, the only obstacle in a way to completion of merge is the claim given Ministry of Justice of the USA, demanding to block the transaction on association of airlines in connection with violation of the antitrust law.

The Ministry of Justice believes that the transaction as a result of which the largest world airline will be created, violates the antitrust law of the USA and will lead to weakening of the competition in branch, and also to rise in prices for consumers.

Transaction approval by court on bankruptcies means that in case AMR and US Airways will win court in the claim of Ministry of Justice, or will settle this question with the government, their plan on merge will come into force.

One of agreement conditions between airlines assumes that any of the parties can refuse the transaction in case regulators don't approve it till December 17. Nevertheless, both companies declared that are ready to remove this date, notes a source

Let's remind, merge of US Airways Group corporation and bankrupt AMR Corp. which division is American Airlines Inc, has to come to the end in the third quarter 2013. The transaction already got approval of the European Commission which has come to a conclusion that transatlantic routes, except for one, won't be mentioned by association of the American companies and on them rather strong competition will remain from other air carriers.

On terms of transaction, shareholders of US Airways will receive 28% of the united company which have remained of 72% - shareholders of AMR and creditors being since the end of 2011 in the course of bankruptcy of American Airlines. The united company will keep the name American Airlines and headquarters in Fort-Uorte (State of Texas). Merge will lead to creation of the world's largest airline with capitalization about 11 billion dollars.

The fleet of future air carrier-gaganta will exceed 900 planes, totally they will carry out more than 6,7 thousand flights in 336 directions in 56 countries a day. The personnel of updated American Airlines will make more than 95 thousand people. The company also intends to keep all hubs serving now American Airlines and US Airways.

The chairman of the board of directors and the chief executive officer of US Airways Dag Parker will head the united company and will enter into board of directors. The chairman of the board of directors, the president and CEO American Airlines Thomas Horton will head company board of directors before the first annual meeting of shareholders.
